Corporate Governance as a Mean of Company's Development

Abstract

One cannot conclude this subject matter without making reference to the recent OECD initiative regarding Principles of Corporate Governance. These may prove to be guidelines for corporate governance systems which would solve various matters of contention which the company could not unravel These principles cover the wide areas of fair treatment of shareholders, shareholders' rights, responsibilities of the board, as well as issues of disclosure and transparency. Shareholders' rights, such as furnishing shareholders with the opportunity of effective participation in and voting at general meetings as well as informing them of the rules governing shareholders' meetings, and the guidelines covering the composition of directors' boards, are but a few examples of the detailed provisions suggested by the OECD Model.(original abstract)
