Listing Act — A (R)evolution in the Capital Market

Abstract

Abstract. During the plenary session held between April 22 and April 25, 2024, the European Parliament adopted the "Listing Act" regulatory package, which was officially published in the Official Journal of the European Union on November 14, 2024. These regulations serve as a pivotal element in the long-standing initiative to establish the Capital Markets Union (CMU). Their primary objective is to enhance the growth potential of businesses and improve access to diversified financing sources, a necessity particularly pressing for small and medium-sized enterprises (SMEs), which remain heavily reliant on bank-based funding mechanisms.

This article examines the current state of the Warsaw Stock Exchange regarding capital acquisition opportunities available to businesses. It further analyzes the most significant legal changes introduced by the new regulatory framework, particularly from the perspective of issuers. Finally, it offers an evaluation of these changes, assessing their broader implications for the Polish capital market and its stakeholders.
